This document governs access to and use of Smart Choice Contractors USA websites, CRM portals, customer dashboards, project systems, estimates, proposals, service coordination, handyman services, licensed contractor services, vendor coordination, artificial intelligence tools, payment systems, communications, and related offerings.

1. Acceptance of Terms

These Customer Terms, Platform Rules, Marketplace Policies, and Privacy Agreement, together with any proposal, estimate, service agreement, work authorization, invoice, payment schedule, change order, privacy notice, warranty policy, supplemental service terms, or written addendum issued by Smart Choice Contractors USA, govern your access to and use of the Smart Choice platform and related services.

By visiting the website, creating an account, requesting an estimate, uploading project information, approving a proposal, signing electronically, using the CRM portal, communicating with Smart Choice, making a payment, receiving services, or continuing to use any Smart Choice system after updated terms are posted, you accept these terms on behalf of yourself, your household, your company, the property owner, and any person or entity for whom you are authorized to act.

If you do not agree with these terms, do not use the website, platform, CRM portal, estimate tools, communications systems, payment systems, or services. If you use the platform for a company, landlord, investor, association, property manager, or other entity, you represent that you have authority to bind that entity.

Smart Choice may update these terms from time to time. Changes apply prospectively unless a written agreement states otherwise. Your continued use after posting or delivery of updated terms means you accept the updated terms.

2. Definitions

“Smart Choice,” “Company,” “we,” “our,” or “us” means Smart Choice Contractors USA and any authorized division, platform, CRM workspace, service team, affiliate, contractor coordination program, or business unit operating under the Smart Choice brand.

“Platform” means the websites, CRM portal, dashboards, customer portals, contractor portals, mobile or web applications, forms, estimates, proposal tools, AI tools, payment tools, document systems, messaging systems, scheduling tools, project tracking pages, review tools, and all digital systems made available by Smart Choice.

“Customer,” “Owner,” “Client,” “you,” or “your” means the person or entity using the platform, requesting services, authorizing work, owning or controlling the project site, or paying for services.

“Project” means any proposed, active, suspended, completed, cancelled, or future service request, estimate, consultation, repair, handyman task, remodeling project, construction work, maintenance service, material order, inspection support, permit support, design assistance, or related activity.

“Licensed Work” means work that requires a license under applicable Florida state law, local ordinance, permitting rules, trade requirements, or regulatory standards, including but not limited to work involving general contracting, building, roofing, electrical, plumbing, HVAC, structural, gas, or other regulated trades.

“Handyman Work” means limited repair, maintenance, assembly, minor installation, non-structural work, or other work that does not require a contractor license or trade license under applicable law, provided the work remains within lawful limits and does not require a permit, engineering, or licensed trade authorization.

“Contractor” means an independent contractor, licensed contractor, specialty contractor, subcontractor, handyman provider, vendor, supplier, installer, consultant, engineer, architect, designer, inspector, or third-party service provider who may be introduced, scheduled, coordinated, paid, reviewed, or managed through the platform.

“Project Profile” means the information you submit or approve regarding a project, including photos, dimensions, descriptions, desired scope, property information, drawings, finishes, materials, budget, schedule, permits, constraints, and communications.

“Project Requirements” means the scope, specifications, exclusions, plans, materials, payment schedule, schedule assumptions, inspection requirements, permit requirements, customer responsibilities, and other project requirements documented in an accepted proposal, contract, work authorization, or change order.

“Proposal” means an estimate, quote, budget, scope summary, statement of work, repair proposal, service authorization, bid, work order, project package, or final proposal delivered by or through Smart Choice or a participating contractor.

“Fees” means project fees, platform fees, service charges, deposits, progress payments, add-on fees, design fees, permit support fees, material costs, delivery charges, administrative fees, processing fees, cancellation fees, restocking fees, collection costs, and any other amounts due.

3. Smart Choice Platform Model

Smart Choice operates a construction-related technology, coordination, services, and marketplace platform. Depending on the project, Smart Choice may act as a website operator, lead intake provider, CRM provider, project coordinator, payment facilitator, material procurement support provider, design or permit support provider, licensed contractor, handyman service provider, or marketplace that introduces customers to independent contractors.

Not every project is performed by Smart Choice as the contractor of record. Some projects may be performed by Smart Choice directly, some may be performed by a licensed Smart Choice division, some may be performed by independent licensed contractors, and some may be performed by independent handyman providers where no license is required. The proposal, contract, permit, invoice, and project documentation will identify the applicable structure where required.

The core concept of the platform is to centralize customer intake, scope development, estimate preparation, contractor coordination, documentation, payments, communication, scheduling, change orders, photos, and warranty tracking in one controlled system. This helps reduce confusion, preserve records, improve accountability, and support project transparency.

Unless a written contract expressly states that Smart Choice is the licensed contractor responsible for the construction services, Smart Choice does not guarantee that it is acting as the contractor, builder, trade contractor, employer, agent, partner, joint venturer, or guarantor of any independent contractor or vendor.

4. Licensed Contractor and Handyman Distinction

Florida construction rules distinguish between work that requires a license and work that may be performed without a contractor license. Smart Choice intends to follow that distinction. If a project requires a license, permit, inspection, engineering, or legally authorized trade professional, Smart Choice will require that the work be performed by Smart Choice through the appropriate licensed capacity or by a properly qualified participating contractor.

If a project does not require a license, permit, or regulated trade authorization, Smart Choice may perform or coordinate handyman, maintenance, minor repair, assembly, non-structural installation, property service, punch-list, or similar work through Smart Choice personnel or independent service providers.

The customer agrees not to request, pressure, or permit any person to perform unlicensed work where a license, permit, inspection, or regulated trade authorization is required. Smart Choice may decline, pause, reclassify, or terminate any project if Smart Choice determines that the requested work requires licensed involvement, engineering, permitting, or a different contract structure.

Examples of work that may require additional review include structural changes, roof work, electrical circuits, plumbing systems, HVAC systems, gas lines, load-bearing walls, additions, windows or doors requiring permits, fire-rated assemblies, commercial improvements, accessibility requirements, flood-zone work, and any work regulated by state or local authorities.

Handyman work is limited by law, project conditions, safety, insurance, and Smart Choice policy. A task initially believed to be handyman work may become licensed work if hidden conditions, code requirements, scope changes, or inspection requirements arise.

5. Accounts, CRM, and Customer Dashboard

Smart Choice may provide access to a customer account, CRM portal, project dashboard, proposal page, document folder, payment page, messaging tool, scheduling tool, or similar system. You are responsible for providing accurate information, maintaining password confidentiality, monitoring communications, reviewing notices, and promptly reporting unauthorized access.

Information available in the dashboard may include estimates, proposals, contracts, invoices, payment schedules, change orders, photos, project notes, messages, warranty items, permit information, and other records. Dashboard content is provided for convenience and may not replace official contract documents, permit records, inspection records, or signed agreements.

You agree that platform notices, emails, SMS messages, CRM notifications, uploaded documents, electronic signatures, approvals, comments, and payment actions may be used as evidence of authorization, acceptance, rejection, notice, complaint, approval, or dispute.

You may not share your account with unauthorized persons, use another person’s account, scrape data, reverse engineer systems, interfere with platform operations, upload malicious files, or use the platform for unlawful purposes.

6. Project Profiles, Estimates, and Proposals

You may submit project information through online forms, messages, calls, photos, videos, drawings, measurements, AI tools, field visits, or in-person consultations. You are responsible for accuracy and completeness. Measurements, photos, visible conditions, customer descriptions, and online submissions may be incomplete or inaccurate until verified in the field.

Preliminary estimates, AI-generated budgets, ballpark numbers, online calculators, pricing templates, allowances, and verbal discussions are not final contracts unless expressly incorporated into a signed written agreement. A proposal may rely on assumptions, exclusions, allowances, and customer-provided information.

Smart Choice may use historical pricing, vendor data, AI tools, subcontractor quotes, supplier catalogs, public information, field measurements, and internal templates to generate proposals. Pricing may change due to labor availability, material costs, fuel costs, code requirements, hidden conditions, customer changes, permitting, engineering, inspection requirements, or supplier changes.

Any proposal may be accepted, rejected, revised, withdrawn, or conditioned. Smart Choice is not obligated to perform work until a contract, work authorization, deposit, schedule, and required documentation are complete.

7. Home Improvement Contracts and Service Agreements

A project may require a written home improvement contract, service agreement, work order, subcontract, vendor agreement, proposal acceptance, or other written authorization. The specific contract controls the scope, price, payment schedule, exclusions, warranty, cancellation rights, and responsibilities for that project.

If Smart Choice is the contractor of record, the contract will identify Smart Choice or the applicable licensed entity as the party responsible for the contracted work. If an independent contractor is the contracting party, the customer’s construction contract is with that contractor, and Smart Choice’s role may be limited to platform, coordination, payment, materials, administrative, or support services.

You agree to review the contract carefully before signing. You should not rely on marketing statements, preliminary budgets, general website information, AI outputs, or verbal comments that are not included in the final written contract or change order.

No work outside the signed scope is included unless added by written change order or separate agreement. If plans, drawings, engineering, code requirements, inspections, or site conditions conflict with the scope, Smart Choice may require revision before work continues.

8. Marketplace and Independent Contractors

Smart Choice may introduce customers to independent contractors, licensed trades, specialty providers, handyman providers, vendors, suppliers, designers, engineers, architects, inspectors, or consultants. These providers are independent businesses unless a written agreement states otherwise.

Independent contractors are not employees, partners, representatives, joint venturers, franchisees, or agents of Smart Choice solely because they appear on the platform, receive leads, use CRM tools, communicate through Smart Choice systems, are paid through Smart Choice systems, or are described as approved, vetted, preferred, verified, registered, top-rated, or similar.

Smart Choice may perform reasonable onboarding, license collection, insurance collection, reference checks, background review, interviews, profile review, or quality checks. These processes do not guarantee performance, safety, legality, availability, financial condition, insurance coverage, licensing status, workmanship, or code compliance. Customers remain responsible for selecting and approving contractors unless a written contract states that Smart Choice is responsible for the contractor selection.

Customers and contractors agree not to bypass the platform for projects, change orders, payments, materials, warranty claims, or future work that originated through Smart Choice, except with written Smart Choice approval. Bypass activity harms the platform, creates record gaps, and may result in termination, fee acceleration, denial of support, or collection of applicable platform fees.

9. Handyman and Maintenance Services

Smart Choice may offer handyman and maintenance services for lawful non-licensed tasks. These may include minor repairs, assembly, painting touch-ups, caulking, drywall patching, hardware replacement, fixture assembly not requiring licensed trade work, furniture assembly, door adjustment, trim repair, cleaning support, punch-list services, property maintenance, and similar tasks.

Handyman services do not include work that requires a contractor license, trade license, permit, engineering, inspection, or regulated professional unless the required licensed structure is added. If a handyman task expands into licensed work, work may be paused and a revised scope, licensed contractor, permit, or change order may be required.

Customer-provided materials for handyman work are used at the customer’s risk. Smart Choice does not warrant manufacturer defects, missing parts, incorrect sizes, insufficient quantities, or product suitability for customer-supplied materials.

Handyman visits may be billed by fixed price, hourly rate, minimum trip charge, service call, subscription, maintenance plan, or task package. Time spent diagnosing, shopping, waiting for access, returning for missing parts, or addressing customer changes may be billable if disclosed or reasonably necessary.

10. Licensed Trade Services

Licensed trade services may include work involving building, general contracting, roofing, plumbing, electrical, HVAC, gas, structural framing, windows, doors, commercial build-outs, additions, remodeling requiring permits, or other regulated work. Such work must be performed under the applicable legal structure.

The existence of Smart Choice license numbers on the website or marketing material does not mean every project is automatically performed by Smart Choice as contractor of record. The project contract, permit, proposal, and work authorization determine the applicable role.

Licensed work may require permit applications, notices of commencement, recorded documents, inspections, engineering, product approvals, energy calculations, HOA approvals, flood-zone review, asbestos or lead review, utility coordination, and other requirements. These items are included only if expressly stated in the scope or required by law and accepted through the project process.

11. Permits, Engineering, and Approvals

The customer is responsible for disclosing all property restrictions, ownership limitations, condominium rules, HOA requirements, landlord approvals, easements, flood-zone conditions, prior unpermitted work, code violations, unsafe conditions, insurance requirements, and access limitations.

Smart Choice may offer permit support, document preparation support, approval coordination, drawing coordination, engineering coordination, or advisory services. Unless a licensed architect, engineer, or contractor expressly signs and seals or contracts for regulated professional services, Smart Choice does not provide architecture, engineering, legal advice, or governmental approval guarantees.

Permit timelines are controlled by government agencies, reviewers, inspection departments, utilities, engineers, architects, product approval authorities, and other third parties. Smart Choice does not guarantee permit approval, review speed, inspection outcome, or code interpretation.

If work requires a permit and the permit is not available, Smart Choice may suspend work, reschedule, revise the scope, require a change order, or terminate the project. Customer delay in providing documents or signatures may delay the project and may create additional fees.

12. Materials, Supplies, and Procurement

Smart Choice may assist with materials, fixtures, finishes, equipment, appliances, cabinetry, flooring, tile, doors, windows, roofing products, HVAC equipment, plumbing fixtures, electrical components, hardware, and other project supplies. Materials may be purchased by Smart Choice, the customer, a contractor, a vendor, or a supplier depending on the project structure.

Material pricing, availability, lead times, manufacturer specifications, colors, finishes, dimensions, stock, shipping schedules, and product approvals may change without notice. Photos and samples may vary from actual products. Natural materials, wood, stone, tile, flooring, concrete, paint, and finishes may vary in color, grain, shade, pattern, texture, and performance.

Materials ordered through Smart Choice may be non-refundable, subject to restocking fees, subject to supplier cancellation policies, or unavailable for return after purchase, delivery, installation, customization, fabrication, special order, or opening. Customer-approved selections are the customer’s responsibility.

Manufacturer warranties, if any, are controlled by the manufacturer. Smart Choice does not expand manufacturer warranties unless expressly stated in writing. Improper storage, customer handling, environmental conditions, moisture, jobsite damage, misuse, or installation by others may void warranties.

13. Payments, Deposits, and Progress Billing

Project fees may include deposits, mobilization payments, material payments, progress payments, milestone payments, draw payments, completion payments, change order payments, add-on fees, platform fees, processing fees, financing fees, administrative fees, and taxes where applicable.

Unless otherwise agreed, all payments must be made through the Smart Choice platform or approved payment method. Direct payment to an independent contractor or vendor outside the platform may void platform protections, disrupt accounting, create lien or warranty issues, and does not reduce amounts owed to Smart Choice unless Smart Choice confirms otherwise in writing.

Smart Choice may use third-party payment processors, including credit card processors, ACH providers, wire processors, financing providers, or accounting systems. Payment processors may have separate terms, fees, security rules, and dispute procedures. Smart Choice is not responsible for processor errors, bank delays, financing denials, chargeback rules, or payment network decisions.

If a progress payment notice or completion notice is issued, you must object in writing within the stated complaint period or within three business days if no different period is stated. Failure to object may be treated as acceptance of the work associated with that payment. If you submit a timely written complaint, Smart Choice may pause payment application while the issue is reviewed, but unresolved complaints may result in suspension, termination, fee acceleration, or collections.

Past-due amounts may be subject to late fees, interest where permitted, collection costs, attorney fees, lien rights, suspension of services, account restrictions, and reporting or collection actions where lawful.

14. Change Orders

Changes to scope, materials, layout, design, schedule, site conditions, hidden conditions, code requirements, customer preferences, quantities, access, permits, inspections, or project requirements must be documented through a written change order or platform update before the changed work proceeds.

A change order may increase or decrease the price, extend the schedule, alter warranty terms, require additional materials, require engineering, require permits, or change responsibilities. Verbal discussions, text messages, field comments, or informal requests are not binding change orders unless confirmed through the approved process.

Smart Choice may determine whether requested work is part of the existing project, a change order, a separate project, a separate handyman task, or licensed work requiring different handling. Work performed off-platform or outside the approved change order process is not the responsibility of Smart Choice unless Smart Choice expressly approved it in writing.

15. Scheduling and Delays

Project schedules are estimates unless expressly stated as guaranteed in a signed contract. Schedules may be affected by weather, labor availability, material lead times, inspections, permits, customer access, design decisions, hidden conditions, utility coordination, supplier delays, illness, emergencies, code corrections, force majeure, payment delays, and other causes.

Customers must provide safe access, utilities, parking, staging areas, pets secured away from work areas, timely decisions, timely payments, and required approvals. Delay caused by customer action or inaction may result in rescheduling fees, remobilization fees, storage fees, extended overhead, or schedule changes.

Smart Choice may use text, email, phone, CRM notifications, or dashboard updates for scheduling. Missed appointments, lockouts, unsafe conditions, unavailable decision makers, or inaccessible work areas may be billable.

16. Customer Responsibilities

You are responsible for accurately describing your project, disclosing known conditions, confirming property ownership or authorization, obtaining landlord or association approvals unless included in scope, reviewing proposals, reviewing drawings, confirming selections, protecting valuables, securing pets, providing access, maintaining utilities, and paying invoices on time.

You must not direct workers to perform unsafe work, unlicensed work, unpermitted work, work outside the contract, or work contrary to code, manufacturer instructions, engineering, inspection requirements, or Smart Choice policy. You must not harass, threaten, abuse, discriminate against, or interfere with workers, contractors, vendors, inspectors, or Smart Choice personnel.

You assume responsibility for decisions made by you, your family, tenants, agents, designers, property managers, employees, or representatives. If multiple people communicate instructions, Smart Choice may rely on any person who appears authorized unless written limitations are provided.

17. Contractor and Vendor Responsibilities

Participating contractors and vendors are responsible for their own licensing, insurance, taxes, tools, labor, supervision, safety, code compliance, workmanship, employees, subcontractors, payroll, transportation, and business operations unless a written agreement states otherwise.

Contractors must follow applicable laws, permits, inspections, manufacturer requirements, project specifications, safety requirements, platform rules, customer conduct rules, payment rules, and change order procedures. Contractors may not bypass the platform, solicit off-platform payments, misrepresent credentials, perform unlicensed work, or misuse customer information.

Smart Choice may remove, suspend, downgrade, investigate, restrict, or terminate contractor or vendor access for performance issues, customer complaints, safety concerns, documentation gaps, insurance issues, licensing concerns, bypass activity, fraud, or violation of platform rules.

Unless a written contract expressly states that Smart Choice is the licensed contractor responsible for the construction services, Smart Choice does not guarantee that it is acting as the contractor, builder, trade contractor, employer, agent, partner, joint venturer, or guarantor of any independent contractor or vendor.

4. Licensed Contractor and Handyman Distinction

Florida construction rules distinguish between work that requires a license and work that may be performed without a contractor license. Smart Choice intends to follow that distinction. If a project requires a license, permit, inspection, engineering, or legally authorized trade professional, Smart Choice will require that the work be performed by Smart Choice through the appropriate licensed capacity or by a properly qualified participating contractor.

If a project does not require a license, permit, or regulated trade authorization, Smart Choice may perform or coordinate handyman, maintenance, minor repair, assembly, non-structural installation, property service, punch-list, or similar work through Smart Choice personnel or independent service providers.

The customer agrees not to request, pressure, or permit any person to perform unlicensed work where a license, permit, inspection, or regulated trade authorization is required. Smart Choice may decline, pause, reclassify, or terminate any project if Smart Choice determines that the requested work requires licensed involvement, engineering, permitting, or a different contract structure.

Examples of work that may require additional review include structural changes, roof work, electrical circuits, plumbing systems, HVAC systems, gas lines, load-bearing walls, additions, windows or doors requiring permits, fire-rated assemblies, commercial improvements, accessibility requirements, flood-zone work, and any work regulated by state or local authorities.

Handyman work is limited by law, project conditions, safety, insurance, and Smart Choice policy. A task initially believed to be handyman work may become licensed work if hidden conditions, code requirements, scope changes, or inspection requirements arise.

5. Accounts, CRM, and Customer Dashboard

Smart Choice may provide access to a customer account, CRM portal, project dashboard, proposal page, document folder, payment page, messaging tool, scheduling tool, or similar system. You are responsible for providing accurate information, maintaining password confidentiality, monitoring communications, reviewing notices, and promptly reporting unauthorized access.

Information available in the dashboard may include estimates, proposals, contracts, invoices, payment schedules, change orders, photos, project notes, messages, warranty items, permit information, and other records. Dashboard content is provided for convenience and may not replace official contract documents, permit records, inspection records, or signed agreements.

You agree that platform notices, emails, SMS messages, CRM notifications, uploaded documents, electronic signatures, approvals, comments, and payment actions may be used as evidence of authorization, acceptance, rejection, notice, complaint, approval, or dispute.

You may not share your account with unauthorized persons, use another person’s account, scrape data, reverse engineer systems, interfere with platform operations, upload malicious files, or use the platform for unlawful purposes.

6. Project Profiles, Estimates, and Proposals

You may submit project information through online forms, messages, calls, photos, videos, drawings, measurements, AI tools, field visits, or in-person consultations. You are responsible for accuracy and completeness. Measurements, photos, visible conditions, customer descriptions, and online submissions may be incomplete or inaccurate until verified in the field.

Preliminary estimates, AI-generated budgets, ballpark numbers, online calculators, pricing templates, allowances, and verbal discussions are not final contracts unless expressly incorporated into a signed written agreement. A proposal may rely on assumptions, exclusions, allowances, and customer-provided information.

Smart Choice may use historical pricing, vendor data, AI tools, subcontractor quotes, supplier catalogs, public information, field measurements, and internal templates to generate proposals. Pricing may change due to labor availability, material costs, fuel costs, code requirements, hidden conditions, customer changes, permitting, engineering, inspection requirements, or supplier changes.

Any proposal may be accepted, rejected, revised, withdrawn, or conditioned. Smart Choice is not obligated to perform work until a contract, work authorization, deposit, schedule, and required documentation are complete.

7. Home Improvement Contracts and Service Agreements

A project may require a written home improvement contract, service agreement, work order, subcontract, vendor agreement, proposal acceptance, or other written authorization. The specific contract controls the scope, price, payment schedule, exclusions, warranty, cancellation rights, and responsibilities for that project.

If Smart Choice is the contractor of record, the contract will identify Smart Choice or the applicable licensed entity as the party responsible for the contracted work. If an independent contractor is the contracting party, the customer’s construction contract is with that contractor, and Smart Choice’s role may be limited to platform, coordination, payment, materials, administrative, or support services.

You agree to review the contract carefully before signing. You should not rely on marketing statements, preliminary budgets, general website information, AI outputs, or verbal comments that are not included in the final written contract or change order.

No work outside the signed scope is included unless added by written change order or separate agreement. If plans, drawings, engineering, code requirements, inspections, or site conditions conflict with the scope, Smart Choice may require revision before work continues.

8. Marketplace and Independent Contractors

Smart Choice may introduce customers to independent contractors, licensed trades, specialty providers, handyman providers, vendors, suppliers, designers, engineers, architects, inspectors, or consultants. These providers are independent businesses unless a written agreement states otherwise.

Independent contractors are not employees, partners, representatives, joint venturers, franchisees, or agents of Smart Choice solely because they appear on the platform, receive leads, use CRM tools, communicate through Smart Choice systems, are paid through Smart Choice systems, or are described as approved, vetted, preferred, verified, registered, top-rated, or similar.

Smart Choice may perform reasonable onboarding, license collection, insurance collection, reference checks, background review, interviews, profile review, or quality checks. These processes do not guarantee performance, safety, legality, availability, financial condition, insurance coverage, licensing status, workmanship, or code compliance. Customers remain responsible for selecting and approving contractors unless a written contract states that Smart Choice is responsible for the contractor selection.

Customers and contractors agree not to bypass the platform for projects, change orders, payments, materials, warranty claims, or future work that originated through Smart Choice, except with written Smart Choice approval. Bypass activity harms the platform, creates record gaps, and may result in termination, fee acceleration, denial of support, or collection of applicable platform fees.

9. Handyman and Maintenance Services

Smart Choice may offer handyman and maintenance services for lawful non-licensed tasks. These may include minor repairs, assembly, painting touch-ups, caulking, drywall patching, hardware replacement, fixture assembly not requiring licensed trade work, furniture assembly, door adjustment, trim repair, cleaning support, punch-list services, property maintenance, and similar tasks.

Handyman services do not include work that requires a contractor license, trade license, permit, engineering, inspection, or regulated professional unless the required licensed structure is added. If a handyman task expands into licensed work, work may be paused and a revised scope, licensed contractor, permit, or change order may be required.

Customer-provided materials for handyman work are used at the customer’s risk. Smart Choice does not warrant manufacturer defects, missing parts, incorrect sizes, insufficient quantities, or product suitability for customer-supplied materials.

Handyman visits may be billed by fixed price, hourly rate, minimum trip charge, service call, subscription, maintenance plan, or task package. Time spent diagnosing, shopping, waiting for access, returning for missing parts, or addressing customer changes may be billable if disclosed or reasonably necessary.

10. Licensed Trade Services

Licensed trade services may include work involving building, general contracting, roofing, plumbing, electrical, HVAC, gas, structural framing, windows, doors, commercial build-outs, additions, remodeling requiring permits, or other regulated work. Such work must be performed under the applicable legal structure.

The existence of Smart Choice license numbers on the website or marketing material does not mean every project is automatically performed by Smart Choice as contractor of record. The project contract, permit, proposal, and work authorization determine the applicable role.

Licensed work may require permit applications, notices of commencement, recorded documents, inspections, engineering, product approvals, energy calculations, HOA approvals, flood-zone review, asbestos or lead review, utility coordination, and other requirements. These items are included only if expressly stated in the scope or required by law and accepted through the project process.

11. Permits, Engineering, and Approvals

The customer is responsible for disclosing all property restrictions, ownership limitations, condominium rules, HOA requirements, landlord approvals, easements, flood-zone conditions, prior unpermitted work, code violations, unsafe conditions, insurance requirements, and access limitations.

Smart Choice may offer permit support, document preparation support, approval coordination, drawing coordination, engineering coordination, or advisory services. Unless a licensed architect, engineer, or contractor expressly signs and seals or contracts for regulated professional services, Smart Choice does not provide architecture, engineering, legal advice, or governmental approval guarantees.

Permit timelines are controlled by government agencies, reviewers, inspection departments, utilities, engineers, architects, product approval authorities, and other third parties. Smart Choice does not guarantee permit approval, review speed, inspection outcome, or code interpretation.

If work requires a permit and the permit is not available, Smart Choice may suspend work, reschedule, revise the scope, require a change order, or terminate the project. Customer delay in providing documents or signatures may delay the project and may create additional fees.

12. Materials, Supplies, and Procurement

Smart Choice may assist with materials, fixtures, finishes, equipment, appliances, cabinetry, flooring, tile, doors, windows, roofing products, HVAC equipment, plumbing fixtures, electrical components, hardware, and other project supplies. Materials may be purchased by Smart Choice, the customer, a contractor, a vendor, or a supplier, depending on the project structure.

Material pricing, availability, lead times, manufacturer specifications, colors, finishes, dimensions, stock, shipping schedules, and product approvals may change without notice. Photos and samples may vary from actual products. Natural materials, wood, stone, tile, flooring, concrete, paint, and finishes may vary in color, grain, shade, pattern, texture, and performance.

Materials ordered through Smart Choice may be non-refundable, subject to restocking fees, subject to supplier cancellation policies, or unavailable for return after purchase, delivery, installation, customization, fabrication, special order, or opening. Customer-approved selections are the customer’s responsibility.

Manufacturer warranties, if any, are controlled by the manufacturer. Smart Choice does not expand manufacturer warranties unless expressly stated in writing. Improper storage, customer handling, environmental conditions, moisture, jobsite damage, misuse, or installation by others may void warranties.

13. Payments, Deposits, and Progress Billing

Project fees may include deposits, mobilization payments, material payments, progress payments, milestone payments, draw payments, completion payments, change order payments, add-on fees, platform fees, processing fees, financing fees, administrative fees, and taxes where applicable.

Unless otherwise agreed, all payments must be made through the Smart Choice platform or approved payment method. Direct payment to an independent contractor or vendor outside the platform may void platform protections, disrupt accounting, create lien or warranty issues, and does not reduce amounts owed to Smart Choice unless Smart Choice confirms otherwise in writing.

Smart Choice may use third-party payment processors, including credit card processors, ACH providers, wire processors, financing providers, or accounting systems. Payment processors may have separate terms, fees, security rules, and dispute procedures. Smart Choice is not responsible for processor errors, bank delays, financing denials, chargeback rules, or payment network decisions.

If a progress payment notice or completion notice is issued, you must object in writing within the stated complaint period or within three business days if no different period is stated. Failure to object may be treated as acceptance of the work associated with that payment. If you submit a timely written complaint, Smart Choice may pause payment application while the issue is reviewed, but unresolved complaints may result in suspension, termination, fee acceleration, or collections.

Past-due amounts may be subject to late fees, interest where permitted, collection costs, attorney fees, lien rights, suspension of services, account restrictions, and reporting or collection actions where lawful.

14. Change Orders

Changes to scope, materials, layout, design, schedule, site conditions, hidden conditions, code requirements, customer preferences, quantities, access, permits, inspections, or project requirements must be documented through a written change order or platform update before the changed work proceeds.

A change order may increase or decrease the price, extend the schedule, alter warranty terms, require additional materials, require engineering, require permits, or change responsibilities. Verbal discussions, text messages, field comments, or informal requests are not binding change orders unless confirmed through the approved process.

Smart Choice may determine whether requested work is part of the existing project, a change order, a separate project, a separate handyman task, or licensed work requiring different handling. Work performed off-platform or outside the approved change order process is not the responsibility of Smart Choice unless Smart Choice expressly approves it in writing.

15. Scheduling and Delays

Project schedules are estimates unless expressly stated as guaranteed in a signed contract. Schedules may be affected by weather, labor availability, material lead times, inspections, permits, customer access, design decisions, hidden conditions, utility coordination, supplier delays, illness, emergencies, code corrections, force majeure, payment delays, and other causes.

Customers must provide safe access, utilities, parking, staging areas, pets secured away from work areas, timely decisions, timely payments, and required approvals. Delay caused by customer action or inaction may result in rescheduling fees, remobilization fees, storage fees, extended overhead, or schedule changes.

Smart Choice may use text, email, phone, CRM notifications, or dashboard updates for scheduling. Missed appointments, lockouts, unsafe conditions, unavailable decision makers, or inaccessible work areas may be billable.

16. Customer Responsibilities

You are responsible for accurately describing your project, disclosing known conditions, confirming property ownership or authorization, obtaining landlord or association approvals unless included in scope, reviewing proposals, reviewing drawings, confirming selections, protecting valuables, securing pets, providing access, maintaining utilities, and paying invoices on time.

You must not direct workers to perform unsafe work, unlicensed work, unpermitted work, work outside the contract, or work contrary to code, manufacturer instructions, engineering, inspection requirements, or Smart Choice policy. You must not harass, threaten, abuse, discriminate against, or interfere with workers, contractors, vendors, inspectors, or Smart Choice personnel.

You assume responsibility for decisions made by you, your family, tenants, agents, designers, property managers, employees, or representatives. If multiple people communicate instructions, Smart Choice may rely on any person who appears authorized unless written limitations are provided.

17. Contractor and Vendor Responsibilities

Participating contractors and vendors are responsible for their own licensing, insurance, taxes, tools, labor, supervision, safety, code compliance, workmanship, employees, subcontractors, payroll, transportation, and business operations unless a written agreement states otherwise.

Contractors must follow applicable laws, permits, inspections, manufacturer requirements, project specifications, safety requirements, platform rules, customer conduct rules, payment rules, and change order procedures. Contractors may not bypass the platform, solicit off-platform payments, misrepresent credentials, perform unlicensed work, or misuse customer information.

Smart Choice may remove, suspend, downgrade, investigate, restrict, or terminate contractor or vendor access for performance issues, customer complaints, safety concerns, documentation gaps, insurance issues, licensing concerns, bypass activity, fraud, or violation of platform rules.
